Terms of Service
These Terms of Service (“Terms”) govern your access to and use of the RunDD platform, including our website, APIs, AI agents, and related services (collectively, the “Service”). By accessing or using the Service, you agree to be bound by these Terms.
1. Eligibility & Account Registration
The Service is designed for business use by private equity firms, venture capital firms, investment banks, and corporate development teams. You must be at least 18 years old and authorized to bind your organization to these Terms. When you create a workspace, you represent that you have the authority to act on behalf of the registered firm.
2. Use of the Service
2.1 Permitted Use
You may use RunDD to conduct due diligence analysis, generate findings and reports, manage integrations, and collaborate with your team — subject to these Terms and applicable laws.
2.2 Restrictions
- Do not reverse engineer, decompile, or attempt to extract source code from the Service
- Do not use the Service to process data you are not authorized to access
- Do not resell, sublicense, or provide the Service to third parties without written consent
- Do not use the Service in violation of any applicable law, regulation, or third-party right
- Do not attempt to circumvent tenant isolation or access another organization's data
3. Your Data
You retain all rights to the data you upload or connect to RunDD (“Customer Data”). You grant RunDD a limited license to process Customer Data solely for the purpose of providing the Service, including running AI agents, generating findings, and producing reports. We do not use Customer Data to train AI models or for any purpose outside of your workspace.
4. AI-Generated Outputs
RunDD uses AI agents to analyze data and generate diligence findings, risk ratings, and narrative reports (“AI Outputs”). While we strive for accuracy, AI Outputs are provided as analytical assistance and should not be treated as legal, financial, or investment advice. You are responsible for reviewing, validating, and making decisions based on AI Outputs. RunDD does not guarantee the accuracy, completeness, or suitability of any AI Output for any particular purpose.
5. Integrations & Third-Party Services
The Service connects to third-party systems (e.g., Salesforce, GitHub, QuickBooks) through OAuth-based integrations. You are responsible for ensuring you have the right to access and share data from these systems. RunDD is not liable for the availability, accuracy, or security practices of third-party services.
6. Confidentiality
Each party agrees to keep confidential the other party's non-public information. RunDD treats all Customer Data as confidential and applies security controls consistent with our SOC 2 Type II certification. You agree to keep your account credentials and API keys confidential.
7. Fees & Payment
Fees for the Service are set forth in your Order Form or subscription agreement. All fees are non-refundable unless otherwise stated. We may change pricing with 30 days' written notice before your next renewal period.
8. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, RUNDD'S TOTAL LIABILITY UNDER THESE TERMS SHALL NOT EXCEED THE AMOUNTS PAID BY YOU IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM. RUNDD SHALL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOST PROFITS OR LOST DATA, REGARDLESS OF THE THEORY OF LIABILITY.
9. Indemnification
You agree to indemnify and hold harmless RunDD from claims arising out of (a) your use of the Service in violation of these Terms, (b) your Customer Data, or (c) your violation of any law or third-party right. RunDD will indemnify you against third-party claims alleging that the Service infringes a valid patent, copyright, or trademark.
10. Term & Termination
These Terms are effective until terminated. Either party may terminate with 30 days' written notice. Upon termination, you may export your Customer Data for 30 days, after which it will be deleted in accordance with our retention policy. Sections 3, 4, 6, 8, 9, and 11 survive termination.
11. Governing Law & Disputes
These Terms are governed by the laws of the State of Delaware without regard to conflict of laws principles. Any disputes shall be resolved through binding arbitration administered by JAMS in New York, New York — except that either party may seek injunctive relief in a court of competent jurisdiction.
12. Changes to These Terms
We may update these Terms from time to time. Material changes will be communicated via email at least 30 days before they take effect. Continued use of the Service after changes become effective constitutes acceptance of the revised Terms.
